Darwin Technologies, Inc. ("Darwin Studio," "we," "us," or "our") operates the Darwin Studio platform (the "Platform"). This Privacy Policy describes how we collect, use, disclose, and protect your information when you use our Services, including the Darwin Studio website (studio.darwin.so), ad slot review pages, and related services (collectively, the "Services"). By accessing or using the Services, you agree to the collection and use of information in accordance with this Privacy Policy. If you do not agree with the terms of this Privacy Policy, please do not access or use the Services.

1. Information We Collect

1.1 Account Information

When you create a Darwin Studio account, we collect information necessary to identify you and operate your Creator account, including:

  • Name and email address
  • Social media handles and linked platform accounts (YouTube, Instagram, TikTok)
  • Audience demographics and content categories
  • Payment information for payouts (bank account details, Stripe account information)

1.2 Content Data

To identify and facilitate ad placement opportunities within your content, we collect and process:

  • Video URLs and video metadata
  • Content thumbnails and content categories
  • Upload schedules and publishing cadence
  • Audience metrics and engagement data

1.3 AI Analysis Data

Our AI systems generate data derived from analysis of your content, including:

  • Ad slot identification results
  • Placement quality scores and match scores
  • Estimated impressions
  • Recommended pricing, including CPM rates and floor/cap ranges

1.4 Review and Approval Data

When you interact with ad slot proposals, we collect:

  • Ad slot decisions (approved, counter-offered, or rejected)
  • Counter-offer pricing details
  • Rejection reasons
  • Section-by-section feedback, including text and images
  • Reviewer email address and submission timestamps

1.5 Earnings Data

We collect and maintain financial data related to your participation in the Platform, including:

  • Payout amounts and payment history
  • Tax information necessary for 1099 reporting and other legal compliance

1.6 Usage Data

When you access the Services, we automatically collect certain technical and behavioral information, including:

  • IP address, browser type and version, operating system
  • Device information
  • Pages visited, features used, and actions taken within the Platform
  • Session duration and referring URLs

1.7 Communications

We collect information from your communications with us, including support requests, emails, feedback, and any other correspondence you send to Darwin Studio.

2. How We Use Your Information

We use the information we collect for the following purposes:

  • Operating, maintaining, and improving the Darwin Studio Platform
  • Analyzing Creator content to identify ad slot opportunities using our AI systems
  • Generating placement previews, quality scores, and pricing recommendations
  • Matching Ad Slots with Brand campaigns
  • Processing Ad Slot Reviews and Submissions
  • Calculating and distributing Creator earnings and payouts
  • Providing analytics and reporting on Ad Slot performance
  • Improving our AI algorithms and placement quality over time
  • Communicating with you about Ad Slots, earnings, and account matters
  • Sending product updates and marketing communications (with the ability to opt out at any time)
  • Detecting, preventing, and addressing fraud and abuse
  • Complying with legal obligations, including tax reporting requirements

3. How We Share Your Information

We may share your information in the following circumstances:

3.1 With Advertisers and Brands

To facilitate Brand campaign matching, we share Creator public profile information (name, social handles, content categories, audience demographics) and Ad Slot details (placement type, estimated impressions, pricing) with Advertisers and Brands on the Platform. We do not share Creator payout amounts, payment information, or personal contact details with Brands.

3.2 With Service Providers

We engage third-party service providers who perform services on our behalf, including payment processors (Stripe), email services (Loops), hosting and infrastructure providers (Vercel, AWS), analytics providers, and AI/ML processing services. These service providers are contractually bound to protect your data and may only use your information as necessary to perform services on our behalf.

3.3 Campaign Performance

Aggregate and anonymized placement performance data may be shared with Brands to demonstrate campaign results. This data does not identify individual Creators unless the Creator has expressly authorized such disclosure.

3.4 Manager and Agency Access

For Roster accounts, authorized talent managers and agency representatives have access to Creator data, Ad Slot reviews, and earnings data as permitted by the Creator's authorization. You may revoke or modify manager access at any time through your account settings.

3.5 Legal Requirements

We may disclose your information if required to do so by law or in the good faith belief that such action is necessary to comply with a legal obligation, protect and defend the rights or property of Darwin Technologies, Inc., prevent or investigate possible wrongdoing in connection with the Services, protect the personal safety of users of the Services or the public, or protect against legal liability.

3.6 Business Transfers

In the event of a merger, acquisition, reorganization, bankruptcy, or other sale of all or a portion of our assets, your information may be transferred as part of that transaction. We will notify you via email and/or a prominent notice on our Services of any change in ownership or uses of your personal information, as well as any choices you may have regarding your personal information.

3.7 With Your Consent

We may share your information for any other purpose with your explicit consent.

4. Content Analysis and AI Processing

4.1 How We Analyze Your Content

Darwin's AI analyzes Creator video content to identify natural ad slot opportunities. This analysis examines visual elements, scene composition, object placement, and content context to determine optimal locations for non-intrusive ad placements.

4.2 AI-Generated Data

AI-generated data includes placement quality scores, estimated impressions, recommended pricing, and preview images showing how Placements would appear within your content. This data is used to facilitate Ad Slot proposals and Brand matching.

4.3 Content Storage

Creator content is processed by Darwin's AI systems and may be stored temporarily for the purpose of analysis. Original content remains on the Creator's chosen platform (YouTube, TikTok, Instagram). Darwin does not host, publish, or redistribute your original content.

4.4 Opting Out of AI Analysis

You may opt out of AI content analysis by removing your content from the Platform. Please note that opting out may be subject to obligations under active campaigns, and any previously generated AI analysis data will be deleted in accordance with our data retention policies described below.

5. Data Retention

We retain your information in accordance with the following schedule:

  • Account Data: Retained while your account is active and for three (3) years following account closure to comply with legal and contractual obligations.
  • Earnings and Financial Data: Retained for seven (7) years following the relevant transaction for tax compliance and legal reporting purposes, including 1099 reporting requirements.
  • Content Analysis Data: Retained while your Creator account is active. Upon account closure, content analysis data will be deleted within ninety (90) days.
  • Anonymized Analytics: Anonymized and aggregated analytics data may be retained indefinitely as it cannot be used to identify you.

You may request deletion of your personal information at any time, subject to applicable legal retention requirements. To make a deletion request, please contact us at privacy@darwin.so.

6. Data Security

We implement appropriate technical and organizational security measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. These measures include encryption of data in transit and at rest, secure server infrastructure, role-based access controls, and regular security assessments and audits. However, no method of transmission over the internet or method of electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

7. Your Rights and Choices

Depending on your location, you may have certain rights regarding your personal information, including:

  • Access: Request access to the personal information we hold about you
  • Correction: Request correction of inaccurate or incomplete personal information
  • Deletion: Request deletion of your personal information, subject to legal retention requirements
  • Opt-Out of Marketing: Opt out of marketing communications at any time by clicking the "unsubscribe" link in any marketing email or contacting us directly

8. International Data Transfers

Your information may be transferred to and processed in countries other than your country of residence, including the United States. We take appropriate measures, including the use of standard contractual clauses and other safeguards, to ensure that your personal information receives an adequate level of protection in accordance with this Privacy Policy and applicable law.

9. Children's Privacy

Our Services are not intended for children under the age of 13 (or the applicable age of digital consent in your jurisdiction). We do not knowingly collect personal information from children. If we become aware that we have collected personal information from a child without verification of parental consent, we will take steps to delete that information promptly.
